About the Service
The Service is a social network that enables members to access a community of other members, partnering companies, and projects related to Parachute.
The Service is in early development. You understand that you will be using an alpha version of the Service and that you should use it only for testing and evaluation purposes. We are providing the Service on “as is”, “as available” basis without warranty of any kind (see paragraph 16 ( Disclaimers of Warranties) below). You understand that Profile Data and other information you submit to the Service may be corrupted or deleted and not subject to recovery, that the Service may at times not operate as expected or may be unavailable, and that we do not guarantee when or if the Service may be restored to normal operation.
You may not obtain or attempt to obtain unauthorised access to the Service or any information that does not belong to you through any means not intentionally made available by us for your use.
You understand that we may collect data about how you use the Service to help us improve it. You understand and agree that all such usage data, and all information and feedback regarding the features and performance of the Service that you provide to us, will not be confidential or proprietary to you, and that we will have the right to use, copy, and disclose that data, information, and feedback on an unrestricted basis at our discretion and without attribution or compensation to you.
In connection with any future version of the Service you agree that Parachute may, in its discretion, continue to use any data you submit to or in connection with your use of the alpha version of the Service.
ParJar: Disclaimer This program, a bot ("ParJar"), is a work in progress, and as such provided on an as is basis. The developer and team behind ParJar (collectively "Parachute") make no guarantees - financial, cybersecurity or otherwise, that ParJar will be error free, risk-free, function as desired or without disruptions or imperfections.
Crypto currency: A cryptographic and digital currency
ParJar Account: The “house” account held by Parachute, holding various acceptable crypto currencies.
Acceptable Crypto Currency: Parachute (PAR), Bitcoin (BTC), Litecoin (LTC), DogeCoin (DOGE), Ethereum (ETH), Dogecoin (DOGE), Request Network (REQ), OmiseGo (OMG), Oyster Shell(SHL), Civic(CVC), 2gether(2GB), 0x(ZRX), Binance Coin(BNB), PurpleCoin(PPC), Ethos(ETHOS), Oyster(PRL), Basic Attention Token(BAT), Decentraland(MANA), 2gether (2GB
User: Defined as any two legged individual that has directly interacted with ParJar.
Tip: An actioned on telegram using the command /tip when replying to another user’s message or aessage from ParJar. A tip transfers ownership of a voucher from one user to another user, the recipient of such tip.
Voucher: A voucher issued by ParJar and Parachute. This voucher is issued to a user when they receive a tip, or send a deposit. A user is considered owning a voucher when a user had been tipped by another user or confirmation of a successful deposit. A voucher is a direct representation of an amount of crypto currency. A user, having been issued or tipped a voucher, is entitled to tip another user or redeem a voucher through the act of a withdrawal.
Deposit: The act of sending an acceptable crypto currency, as defined above, to the account of ParJar. In performing such deposit, ParJar and Parachute agrees to deposit a voucher representative of the exact quantity of crypto currency received. A voucher is issued once confirmation of the deposit, defined as ParJar having successfully received the intended crpyto currency from the user.
Withdrawal: The act, initiated only in a private message with ParJar, to redeem a voucher for crypto currency. The withdrawal redeems the voucher and is transferred to a wallet, defined as the public key or address, of the users discretion.
Transaction Fee: The fee that is encountered during a withdrawal, calculated by each individual blockchain and current volume, given a reasonable time of delivery and confirmation on the blockchain.
Your Right to Access and Use the Service
Subject to your compliance with these Terms, Parachute grants you a non-exclusive, personal, worldwide, non-transferable and revocable limited licence to access and use the Service solely for your own non-commercial purposes. You agree that you will comply with all applicable laws and regulations when you access or use the Service.
Parachute reserves the right to deny anyone access to the Service at any time for any reason with or without notice. You agree that Parachute may cease providing the Service or change the Service at any time for any reason with or without notice to you and without liability of any kind.
Member Account and Security
To use the full features of the Service, you must create a member account. However, if you do not create a member account, you may access certain features of the Service which are open to the public.
When you create a member account, you must submit information that is accurate, complete, and current. You may not: (a) use as a member ID a name of another person or organization with the intent to impersonate that person or organization; (b) without authorization, use a member ID name or company name that is subject to any rights of another person or organization; (c) use a member ID name or organization name that is offensive, vulgar, obscene, or libelous; or (d) create more than one account.
You must be at least the Minimum Age to create a member account for the Service. You may not create a member account for or use the Service if you are barred from using the Service under these Terms or under any law applicable to you, including the law of the country in which you are resident or from which you would use the Service.
We reserve the right, in our discretion, to refuse registration of, or suspend or cancel a member account.
You are solely responsible for maintaining the confidentiality of your member account credentials, and for properly storing and backing them up. You may not authorise any other person to access or use your member account on your behalf, unless we provide an approved mechanism for that purpose. You are fully responsible for all activities that take place using your member account, including activities by others using your member account with or without your knowledge or permission. You agree to immediately notify us at [email protected] if you detect or suspect any unauthorised use of your member account or any other breach of security related to the Service. You will take all steps necessary to terminate any such unauthorised use, and will cooperate with parachute as parachute may reasonably request. We accept no liability for any loss or damage of any kind arising from your failure to comply with these requirements.
You acknowledge that Internet transmissions are never completely private or secure and that any information you send or receive via the Service may be read or intercepted by others, even if a particular transmission is encrypted.
To receive tokens, you must have an Ethereum wallet that supports the ERC-20 token standard for which you know the address (the “ Token Account”). The Token Account must be fully operational, secure, and valid at the time you create your member account. You are in all respects solely responsible for creating and operating the Token Account and safeguarding the private keys, passwords, and other credentials relating to the Token Account.
You, not Parachute, are responsible for securing the private key that controls your tokens. If you do not know your private key, you will permanently lose your tokens. If your private key is lost or stolen, you could permanently lose your tokens. If you store your private key with a third party wallet or vault service, you will permanently lose your tokens if you forget and are unable to recover your credentials to access the third party service, or if the third party service malfunctions, is corrupted or compromised, makes your credentials or private key available to others, ceases operations, is hacked, or otherwise cannot make your private key available to you or loses control of your private key.
Member Requirements and Conduct
The Service is provided for your personal use only. You may not disclose, distribute, sell, transmit, transfer, or otherwise exploit any portion of the Service in any way to a third party for any commercial purpose.
We do not verify the identities of the members of, or the organisations listed on Company Pages on, the Service. You should satisfy yourself about the identity and authenticity of each member and organisation on a Company Page with whom you intend to interact before you interact with them using the Service or otherwise.
We do not control any content (including Profile Data) posted or exchanged by our members or guarantee the accuracy, integrity, or quality of any such content. You acknowledge that by using the Service, you may find content that is offensive, indecent, or objectionable. We do not accept liability for any errors or omissions in any such content, or for any loss or damage of any kind incurred from the use, inability to use, or deletion of any content maintained or transmitted via the Service. We are not obligated to update any information or material that is out of date.
When accessing or using the Service, you agree not to:
use the Service for any illegal or unauthorised purpose (including to abuse, harass, threaten, impersonate, intimidate, or stalk others), or in any manner which, in parachute's opinion, is harmful to Parachute, the Service, or another person;
interfere with or disrupt the Service, network or computer systems, or the access of another member;
misuse the Service by knowingly introducing viruses, trojans, worms, logic bombs, or other content which is malicious or technologically harmful;
attempt to gain unauthorised access to servers on which the Service is deployed or any server, computer, or database connected to the Service;
attack the Service via a denial-of-service attack or a distributed denial-of service attack, or otherwise probe, test, breach, or circumvent any security measures used by our network or in connection with the Service;
change, modify, adapt, or alter the Service, or change, modify, adapt or alter another website to falsely imply that it is associated with Parachute or the Service;
use any automated software or hardware or any kind to access, tamper with, gather data from, overload, or otherwise interfere with the Service; or
We reserve the right to monitor, edit, or remove any content that you post or to limit your use of the Service, including the number of your connections, any Company Pages that you may have created, and your ability to communicate other members.
You represent and warrant that: (a) you own or are licensed to use the audio, video, text, images, and other material you upload to or communicate via the Service, including Profile Data (“ Member Content”); (b) you have the rights to grant the licences or sub-licences set forth in these Terms; (c) you agree to pay all royalties, fees, and any other monies owed in respect of Member Content; and (d) the Member Content does not violate, misappropriate, or infringe any patent, trademark, trade secret, copyright, or any other intellectual property, proprietary or other right of any party.
You may not post, distribute, upload, or otherwise publish or make available any Member Content via the Service that
is or is likely to be considered obscene, pornographic, violent, discriminatory, threatening, deceptive, defamatory, libellous, infringing, hateful, racist, abusive, fraudulent, or otherwise offensive or objectionable;
encourages or provides advice on the commission of a criminal offense, violates the rights (including intellectual property rights, privacy rights, or right of publicity) of any party, or violates any law, regulation, or mandatory code of practice;
contains the personal information of any third party, without the express consent of that third party;
impersonates the identity of another party;
promotes, propagates, or discusses political or religious issues;
makes available unsolicited or unauthorised advertising, marketing or promotional materials, junk mail, spam, or chain letters;
obtains or attempts to access or otherwise obtain any information or materials through any means not intentionally made available or provided for through the Service;
contains a virus, spyware, harmful components, malicious computer code, programs or files, or other disruptive or destructive files; or
in our opinion, is in any manner harmful to Parachute, the Service, or another person.
We do not endorse or support any Member Content. You acknowledge that we have no obligation, but will have the right in our discretion, to monitor, edit, refuse, move, or remove any content that is available via the Service that violates the standards set out in these Terms. We will not be responsible or liable to you or any third party in any way for any loss or damage of any kind for the Member Content or accuracy of any Member Content uploaded by you or any other member of the Service.
The Service is not an archive or storage service. You should maintain a backup of all Member Content and other information you upload to or communicate via the Service. Except as required by applicable law, we are not obligated to provide a copy of Member Content or other information to you.
Licence of Member Content
All Profile Data in your profile will be accessible to other members and to the general public.
Deletion of Member Content
When you delete Member Content, we will use reasonable efforts to make that Member Content inaccessible.
Even if you delete Member Content, we may retain a copy of Member Content as part of our records for our internal business and legal purposes, and you hereby grant us a non-exclusive, perpetual, irrevocable license to maintain such copy for those purposes.
We respect the intellectual property of others. If you believe that materials of yours have been reproduced in the Service in a way that constitutes copyright infringement or that otherwise violates your rights, please contact us at [email protected] . We have the right to disclose your identity to any third party who claims that your Member Content unlawfully harms them, or violates their intellectual property rights or their right to privacy.
Links from the Service
We do not monitor and have no control over the contents of third party sites or resources, and accept no responsibility for them or for any loss or damage of any kind that may arise from your use of them.
Parachute's Property Rights
We are the owner or the licensee of all copyright and other intellectual property rights in the Service, and in the content published on it (not including your Member Content). Those works are protected by copyright laws and treaties around the world and we reserve all rights with respect to them. You agree that you will not use such proprietary information or content in any way whatsoever except in accordance with these Terms. Except as expressly provided by applicable law, you agree not to copy, modify, create a derivative work of, reverse engineer, decompile, or otherwise attempt to extract source code of the Service or to allow or assist anyone else to do so.
You must not use any of the content on the Service for commercial purposes. If you print, copy, or download any content of the Service in breach of these Terms, your right to use the Service will cease immediately and you must, at our option, return or destroy any copies of the content you have made.
The parachute mark and logo, and other Parachute trade marks, service marks, graphics, and logos used in connection with the Service, are trade marks or registered trade marks of Parachute LLC. in United States and/or other countries. Other trade marks, service marks, graphics, and logos used in connection with the Service may be the trade marks of their respective owners. You are not granted any right or License with respect to any of our trade marks and any use of such trade marks.
Fees and Payment
You may use the Service without charge. However, we reserve the right to charge fees for using certain features in future versions of the Service.
By using the Service, you represent and warrant that you are not: (a) located in, or a national or resident of, a jurisdiction or country where distribution or use of the Service would be contrary to law or regulation, or which would subject Parachute to any registration requirement within such jurisdiction or country; or (b) included on any list of parties who are prohibited or restricted from downloading, exporting, or re-exporting software.
We reserve the right, at any time and in our discretion, to limit the availability of the Service (or any part thereof) to any party or jurisdiction.
You may, at any time, terminate these Terms by closing your member account for the Service. However, please note that a deletion of your member account will not close any Company Pages created using that member account and these Terms will continue to apply in relation to the relevant entities’ use of any such Company Pages.
We reserve the right to terminate these Terms and your use of the Service at any time, and to suspend, disable, or cancel your member account or any Company Pages that you have set up on the Service, at any time, without notice to you and for any reason, including if in our opinion you have failed to comply with any provision of these Terms.
On termination, you will no longer have any right to access or use the Service and all licences and other rights granted to you in these Terms will immediately cease. However, your Member Content may remain on the Service. The licence you grant to us in respect of your Member Content therefore survives the termination of these Terms.
The termination of these Terms will not prejudice any rights accruing to Parachute before termination or the survival of the provisions of these Terms that expressly or impliedly continue in effect, including paragraph 15 ( Termination), paragraph 16 ( Disclaimers of Warranties), paragraph 17 ( Limitation of Liability), paragraph 18 ( Indemnification), and paragraph 19 ( General) of these Terms.
Disclaimers of Warranties
You acknowledge that, while we endeavour to make the Service available at all times, certain maintenance and upgrades of the Service will be required from time to time, resulting in the delay, suspension, or termination of the Service. The Service may also be unavailable from time to time for reasons beyond our control. We do not guarantee, represent, or warrant that your use of the Service will be uninterrupted or error-free, and you agree that the Service may become unavailable, and we may suspend use of the Service for indefinite periods of time, or terminate the Service at any time, without notice to you and for any reason.
To the maximum extent permitted under applicable law, you acknowledge that we have no obligation to furnish any maintenance and support services for the Service.
We will not be liable for any loss or damage of any kind caused by any distributed denial-of-service attack, virus, or other technologically harmful content that may infect your computer equipment, computer programs, data or other proprietary content due to your use of the Service or to your downloading of any content from it, or on any website linked to it.
WE PROVIDE THE SERVICE ON AN "AS IS" AND "AS AVAILABLE" BASIS AND, TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE, OUR AFFILIATES FROM TIME TO TIME, AND CONNECTED THIRD PARTIES EXPRESSLY EXCLUDE: (A) ALL WARRANTIES INCLUDING ANY WARRANTY THAT: (I) THE CONTENT DISPLAYED ON OR AVAILABLE FROM THE SERVICE IS ACCURATE, CURRENT, OR RELIABLE; (II) THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS, OR WILL BE TIMELY, UNINTERRUPTED, SECURE, FREE OF ANY HARMFUL COMPONENTS, OR ERROR-FREE; (III) THE SERVICE WILL NOT CAUSE ANY HARM TO YOUR DEVICE; OR (IV) THE SERVICE WILL OPERATE IN COMBINATION WITH ANY OTHER HARDWARE, SOFTWARE, SYSTEM, OR DATA; AND (B) ALL OTHER TERMS IMPLIED BY STATUTE, COMMON LAW, OR THE LAW OF EQUITY.
THIS DISCLAIMERS OF WARRANTIES CLAUSE WILL SURVIVE THE TERMINATION OF THESE TERMS AND OF YOUR USE OF THE SERVICE.
Limitation of Liability
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE, OUR AFFILIATES FROM TIME TO TIME, AND OUR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS, SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTIAL, OR PUNITIVE LOSS OR DAMAGE INCURRED BY YOU OR ANY PERSON IN CONNECTION WITH: (A) THE SERVICE OR IN CONNECTION WITH THE USE, INABILITY TO USE, OR RESULTS OF THE USE OF THE SERVICE, ANY WEBSITES LINKED TO IT, AND ANY CONTENT AVAILABLE ON IT; (B) ANY CLAIM BY A THIRD PARTY THAT YOUR USE OF THE SERVICE OR ANY CONTENT VIOLATES THE RIGHTS OF ANY THIRD PARTY, INCLUDING INTELLECTUAL PROPERTY RIGHTS; OR (C) ANY DAMAGE TO OR MALFUNCTION OF YOUR DEVICE OR OTHER DEVICE OR EQUIPMENT, INCLUDING ANY LIABILITY FOR ANY LOSS OR CORRUPTION OF DATA, ANY LOSS OF PROFITS, INCOME, OR REVENUE, OR FOR ANY OTHER LOSS OR DAMAGE OF ANY KIND, HOWEVER ARISING AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE OR IF Parachute HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS AND THE SERVICE SHALL NOT EXCEED ONE HUNDRED US DOLLARS
THIS LIMITATION OF LIABILITY CLAUSE WILL SURVIVE THE TERMINATION OF THESE TERMS AND OF YOUR USE OF THE SERVICE.
NOTHING IN THESE TERMS EXCLUDES OR LIMITS OUR LIABILITY FOR DEATH OR PERSONAL INJURY ARISING FROM OUR NEGLIGENCE.
You agree to defend, indemnify and hold harmless Parachute, our affiliates from time to time, and our and their respective directors, officers, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including attorney's fees on a full indemnity basis) arising from or relating to: (a) your Member Content; (b) your use of and access to the Service; (c) your violation of any provision of these Terms; or (d) your violation of any third party right, including any copyright, property, or privacy right. This defense and indemnification obligation will survive the termination of these Terms and of your use of the Service.
Updates to these Terms
We reserve the right to update, modify, or otherwise make changes to these Terms at any time. Any changes to these Terms will be posted to the Service. A notification may also be sent to the email address you have provided to us. Any changes to these Terms will take effect and be binding on you from the time of posting the changes to the Service. If you continue to use the Service following any changes to these Terms, you will be deemed to have accepted the changes and the updated version of these Terms. If you do not agree with the changes, please stop using the Service and delete your member account to the Service. Please ensure that you refer to these Terms on a regular basis to check for any changes.
All notices required or permitted under these Terms and all approvals, consents, and waivers must be in writing in the English language. Any such communication will be deemed to have been given on the date of receipt. You agree to accept notices from Parachute by email. If any court or competent authority finds that any provision of these Terms is invalid, illegal, or unenforceable, that provision shall, to the extent required, be deemed to be deleted, and the validity and enforceability of the other provisions of these Terms shall not be affected.
If any invalid, unenforceable, or illegal provision of these Terms would be valid, enforceable, and legal if some part of it were deleted, the provision shall apply with the minimum modification necessary to make it legal, valid, and enforceable.
The words “include”, “includes”, and “including” will be interpreted to be followed by “without limitation”. The words “discretion” and “opinion” means “sole and absolute discretion” and “sole and absolute opinion”, respectively, unless otherwise qualified. Any headings in these Terms are for convenience only and shall not affect the construction or interpretation of these Terms.
We may assign any or all of its rights hereunder to any party without your consent. You are not permitted to assign any of your rights or obligations hereunder without our prior written consent.
Our failure to enforce the performance of these Terms or any delay in exercising any right or privilege in these Terms shall not constitute a waiver of any subsequent breach or default of a similar nature or a waiver of any such provision, right, or privilege in these Terms. No approval, consent, or waiver in respect of these Terms will be enforceable unless stated in writing signed by or on behalf of the granting party.
Third Party Rights
A person who is not a party to these Terms shall not have any rights under or in connection with them by virtue of the Contracts (Rights of Third Parties) Act (Cap 53B), except for third parties listed or described in paragraph 16 ( Disclaimers of Warranties), paragraph 17 ( Limitation of Liability), and paragraph 18 ( Indemnification) of these Terms.
Governing Law and Jurisdiction
No Joint Proceedings
Any dispute regarding these Terms or the Service is personal to you and Parachute and will not be brought as a representative action, class action, or any other type of representative proceeding. You agree not to join with any other individual or entity or group of individuals or entities for the purpose of seeking to resolve the respective disputes on a consolidated or representative basis.
